According to CNN’s newsletter, Reliable Sources, insiders claim Ellison and company are planning to officially close the merger next week, with an announcement regarding the newly combined company's official name potentially arriving as early as tomorrow. Although today marked the unofficial internal deadline for Paramount’s takeover of Warner Bros. Discovery - timed precisely before a financial "ticking fee" goes into effect tomorrow - that detail has largely become a technicality.
In the week following the settlement reached between state attorneys general and Paramount, David Ellison and his leadership team have accelerated final preparations for the $110 billion mega-deal, which included executing a bond offering to help finance the transaction. However, the deal still needs to be approved by Araceli Martínez-Olguín, the judge presiding over the antitrust case.

According to reports from TheWrap, Paramount has initiated a massive $44 billion debt offering filed with the SEC - comprising $32 billion in investment-grade debt and $12.4 billion in high-yield bonds - to help finance its $110 billion acquisition of Warner Bros. Discovery. This borrowed capital will be pooled alongside existing cash reserves and investor funds to close the landmark transaction.

Once finalized, the combined media giant will shoulder an estimated $80 billion in debt.
