Paramount Settlement Talks Hit Critical Stage as Merger Opponents Urge Rob Bonta to ‘Not Cave’

The Paramount-Warner Bros. Discovery deal has reached one of its most consequential moments, with Paramount Skydance and a coalition of state attorneys general pushing through settlement talks that could determine whether the $110 billion takeover moves forward. The negotiations come after months of antitrust litigation, regulatory hurdles and escalating pressure on both sides. For Paramount, the timing is especially important because the financial cost of delay is about to become much harder to ignore.

But with Paramount facing a $7 million daily payment to Warner Bros. Discovery shareholders beginning October 1, a negotiated resolution has suddenly become much more urgent. 

Paramount and the states are now negotiating what could unlock the merger

Variety reports that the weekend settlement negotiations have reached a critical stage, with the two sides appearing to move closer to a possible agreement. The central dispute is not simply whether Paramount can acquire Warner Bros., but what safeguards would remain in place if the merger goes through. The settlement talks are effectively the next major step in a deal that is otherwise being held up by the 12-state lawsuit led by California Attorney General Rob Bonta. 

Meanwhile, the Block the Merger coalition is organizing rallies in Oakland, Los Angeles and New York, while actor Mark Ruffalo has publicly urged supporters to pressure Bonta not to accept a settlement that opponents believe would fall short of meaningful structural protections.

"Don’t you dare @AGRobBonta, do not cave,” the actor wrote on X.

Paramount and the states had agreed that the transaction would remain on hold while the antitrust case proceeds, leaving a potential March 2027 trial as the longer-term route. As per Variety, Bonta has repeatedly argued that the states need structural remedies, while Paramount has been discussing commitments that could allow the two businesses to operate separately for a period after the transaction.

That distinction matters because Paramount is already offering several forms of protection around the combined company. Discussions have reportedly included keeping the studios operationally separate, maintaining production commitments and preserving a presence in California, alongside possible independent oversight involving CNN and CBS.

The bigger question now is whether those compromises are enough to turn a courtroom fight into a closing agreement.

Merger opponents are turning the settlement talks into a new battle

While the negotiations continue behind closed doors, opposition outside the courtroom is becoming louder. The Writers Guild of America is also pursuing its own antitrust challenge, adding another layer to the legal uncertainty surrounding the transaction.

There is also a significant economic clock running alongside the legal one. Paramount has already asked the court to require the states and WGA to post a $1.88 billion bond over the financial consequences of delaying the merger, while the court has scheduled proceedings around that request.

For now, the settlement talks offer Paramount a possible route around a trial, but the details of any agreement will determine whether the states consider the merger sufficiently protected. With billions of dollars and two major Hollywood businesses hanging in the balance, the next few days could be unusually important for the deal.
