David Zaslav is set to receive a $606.1 million payout as he exits Warner Bros. Discovery amid its merger with Paramount. The longtime chief executive has steered the media giant since its creation in 2022, so his exit was always going to make noise. Few exits, however, come with a figure that makes lottery winners look like they are playing with pocket change. The fine print is worth a look.

While most people wait years for a salary raise, Zaslav’s payday arrived in a single closing, and the breakdown behind it has a few surprises.

How David Zaslav’s $606.1 million Warner Bros. Discovery payout adds up

David Zaslav will collect $606.1 million in connection with his equity holdings after Paramount completed its takeover of Warner Bros. Discovery. About $224 million of that comes from shares, while another $381.7 million comes from in-the-money stock options. Every Warner Bros. Discovery share converted into roughly $31.0167 in cash, a price that includes a small ticking fee for the delay. Restricted stock units were converted to cash at the same time.

The $606.1 million figure was revealed in an SEC Form 4 filing submitted by Zaslav, or on his behalf, on Thursday, October 8, 2026. Roughly 14.98 million of his stock options became worthless, since their exercise prices sat above the deal price. Zaslav had also sold nearly $200 million of company stock after the deal was announced in February 2026. Several other top executives are leaving with nine-figure payouts too.

While the payout fit in one filing, the road to it ran through rival bids, courtrooms, and one determined suitor.

How Paramount’s takeover of Warner Bros. Discovery played out from 2025 to 2026

On June 9, 2025, Warner Bros. Discovery announced plans to split in two. David Ellison’s Skydance completed its $8 billion purchase of Paramount Global that August and courted Zaslav. A sale process began on October 21, and Netflix won the auction on December 5 with an $82.7 billion bid for the studios and HBO. Paramount replied on December 8 with a hostile offer for the whole company at $30 per share.

Paramount raised its bid to $31 per share, Netflix declined to match, and a merger agreement followed on February 27, setting up what became a $110 billion endgame. Shareholders approved on April 23 but rejected the golden parachutes in a non-binding vote. The Justice Department cleared it on June 12, twelve state attorneys general sued on July 13, and a judge approved a settlement on September 30. The deal closed on October 6, leaving David Zaslav $606.1 million richer.
