Barry Diller Abandons MGM Resorts Takeover After $18 Billion Deal Fails to Take Shape

The Las Vegas Strip has become familiar territory for corporate empires, but Barry Diller’s latest proposal to take over the multinational conglomerate MGM Resorts International, has reached an ending rather than another expansion. After months of negotiations, the proposed takeover has been pulled, although Diller is not exactly walking away from the subject of the bid altogether.

The proposed takeover had the ingredients of a corporate blockbuster, but Diller ultimately decided they were not coming together quite as planned.

Barry Diller’s People Inc. has withdrawn its proposal to acquire the MGM Resorts shares it does not already own, ending a $18 billion-plus attempt to take the casino and hospitality company private. People Inc. currently holds approximately 27% of MGM Resorts, leaving it a significant shareholder even after abandoning the wider takeover.

The proposal, announced in June 2026, offered $48.30 in cash per share for the outstanding shares. Over the following months, People Inc. and a special committee of MGM Resorts’ board negotiated over the potential transaction before Diller ultimately pulled the proposal.

The media executive mogul has offered a remarkably concise explanation for why the plan was ending.

“There are lots of ingredients that go into a proposal of this kind on its way to completion," he said in a statement.

"We didn’t feel the mix was coming together in the way we had hoped and have decided not to pursue taking the company private at this time,” Diller conceded (via The Hollywood Reporter).

The phrase leaves the door considerably less slammed than it might initially appear. Diller also reaffirmed his confidence in MGM Resorts rather than distancing People Inc. from the company entirely.

The takeover may be off, but the ex-Paramount CEO's substantial MGM position means the relationship has hardly disappeared from the Las Vegas picture.

People Inc. keeps its MGM Resorts stake

Barry Diller's People Inc. (formerly known as IAC) will retain 66.8 million MGM Resorts shares, representing approximately 27% of the company. Diller said the company remains confident in MGM Resorts’ management and prospects, while leaving open the possibility of another kind of strategic arrangement.

“We at People Incorporated remain open to and interested in the possibility of a strategic transaction with MGM Resorts and look forward to considering a range of alternatives,” he has clearly stated.

That distinction matters because while the proposal is withdrawn at face value, People Inc. has not announced a replacement offer, a new price or a different transaction structure. 

The timing also comes as the casino industry has been seeing other major consolidation efforts as well, including Caesars Entertainment and Fertitta Entertainment's multibillion-dollar merger. For Diller, then, the $18 billion bid did not become a Las Vegas empire, yet his stake in it ensures that his own conglomerate is still very much sitting at the table.
